Order

We recommend that you carefully review your order in your shopping cart before proceeding with the payment. Zessentials Holdings Pte Ltd reserve the right to refuse service to anyone for any reason at any time. Once an Order has been accepted by us, no cancellation of that Order is valid unless you receive our written communication permitting the cancelled Order.

The placement of an order anywhere on our website does not constitute a contract. A contract is made only when we accept your order and have processed your payment. Orders may be subjected to delays by transfers of money or credit card authorisations not being confirmed by the respective banks. It is the customer’s responsibility to contact their bank to speed up this process if the order is required urgently.

Force Majeure

Zessentials Holdings Pte Ltd will not be liable for any delay in performing any of our obligations if such delay is caused by circumstances beyond reasonable control, including but not limited to failure of or interruption in the provision of essential services such as natural disasters, country lockdowns, electricity supply, bank payment systems or postal deliveries.

Indemnification

You agree to indemnify, defend and hold harmless Zessentials Holdings Pte Ltd, its members and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney’s fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Arbitration

In the event the parties are not able to resolve any conflict or contradiction appears in these Terms and Conditions, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Arbitration Act, conducted by a single neutral arbitrator and administered by the Singapore Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties.

Waiver

No indulgence or extension of time which either you or Zessentials Holdings Pte Ltd may grant to the other will constitute a waiver of such right or provision. Any waiver of any provision under these terms will only be effective when it is in writing and signed by Zessentials Holdings Pte Ltd.

Severability

All provisions of any relevant terms and conditions, policies and notices are, notwithstanding the manner in which they have been grouped together or linked grammatically, severable from each other. If any part of these terms is found to be void, invalid, unlawful or unenforceable then that provision or part will be deemed to be severed from these terms and the remaining terms and provisions of these terms will remain in full force and effect.


Governing Law And Jurisdiction

Irrespective of the country from which you access or use the Site and/or Services, to the extent permitted by law, this Policy shall be governed in accordance with the laws of Singapore without regard to choice or conflicts of law principles, and you hereby agree to submit to the exclusive jurisdiction of the courts of Singapore to resolve any claims or disputes which may arise in connection with these Terms and Conditions.
